On 17 April 2025, Suruhanjaya Syarikat Malaysia (SSM) issued an announcement stating that the Phase Two of the Limited Liability Partnerships (LLP) (Amendment) Act 2024 [Act A1728], specifically related to Sections 8, 9, and 10 of Act A1728 (namely new Sections 70A, 76, and 76A), along with the LLP (Amendment) Regulations 2025, came into force on 16 April 2025.
These provisions are intended, among others, for the following purposes:
- The new Section 70A provides for a compliance period in relation to any act or document where the period of compliance is not specified under the LLP Act;
- The amended Section 76 allows for the service of documents to an LLP either by post or electronically;
- The new Section 76A provides that the Commission’s website may be used as an alternative medium for publishing information that would otherwise be required to be published in newspapers; and
- The LLP Regulations 2012 (Principal Regulations) have been amended to include the fee details for advertisement and other amendments as specified in the LLP (Amendment) Regulations 2025, summary of the amendments as reproduced below:
- Regulation 7 of the Principal Regulations relating to time for lodgement of documents where a document is required under the LLP Act to be lodged with the Registrar but the period of time to lodge the document is not provided in the LLP Act, that document shall be lodged within thirty days from the date the document is required to be lodged
- Item 10 relating to “certification of any document relating to a LLP be changed from “RM5 per page” to “RM10 per document”
- New item 18A be added in the Schedule relating to “Publication or advertisement on the website of the Commission under section 76A of the Act” at a fee of RM500
